Terms of Service

1. Agreement

These Terms of Service ("Terms") form a binding agreement between you and Bilberk Global Company Ltd, a company registered in Nigeria ("Bilberk", "we", "our", or "us"), and govern your access to and use of Bilberk CRM, including the website at bilberkgroup.com, and any associated APIs, mobile or web applications (collectively, the "Service").

By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility and accounts

  • You must be at least 16 years old and able to enter into a binding contract.
  • You are responsible for keeping your account credentials confidential and for all activity that occurs under your account.
  • If you create a workspace on behalf of an organisation, you confirm that you are authorised to bind that organisation to these Terms.
  • Notify us at support@bilberk.com immediately if you suspect any unauthorised access.

3. Acceptable use

You agree not to, and not to allow any user of your workspace to:

  • Use the Service to send unsolicited marketing, spam, phishing, or unlawful content.
  • Use the Service to harass, defraud, or harm any person.
  • Reverse-engineer, decompile, or attempt to extract source code, except to the extent expressly permitted by law.
  • Circumvent rate limits, security controls, or access controls.
  • Use the Service to build or train a competing product.
  • Upload malware, scrape personal data of third parties without lawful basis, or otherwise violate applicable law.

We may suspend or terminate any workspace that we reasonably believe is violating these rules.

4. Your content and data

You retain all rights to the contacts, messages, documents, and other content you and your team upload or generate inside your workspace ("Customer Data"). You grant Bilberk a worldwide, non-exclusive licence to host, process, transmit, and display your Customer Data solely to provide, secure, and improve the Service.

You are responsible for ensuring that you have the legal right to process the personal data of any individuals you import into Bilberk CRM and for honouring any requests from those individuals to access, correct, or delete their data.

5. Third-party integrations

The Service can be connected to third-party services including Google (Calendar / Meet), Zoom, SendGrid, Mailgun, Resend, Twilio, and Meta WhatsApp Cloud API. Your use of those services is governed by their own terms — Bilberk is not responsible for those services, their availability, or for any changes they make to their APIs.

When you connect Google services, our handling of your Google user data is additionally governed by Google API Services User Data Policy (including the Limited Use requirements) as described in our Privacy Policy.

6. Fees and billing

Some features of the Service may require a paid subscription. Pricing, billing cycle, and payment terms applicable to your workspace will be presented at the point of purchase. Unless otherwise stated in writing, fees are non-refundable. We may change our prices with at least 30 days' notice to workspace owners; price changes do not apply to a billing period already paid for.

7. Service availability

We aim to keep the Service available 24/7 but do not guarantee uninterrupted availability. We may perform maintenance, deploy updates, or temporarily restrict access for security reasons. We are not liable for any downtime caused by third-party providers (including Google Cloud, Firebase, or any integration partner).

8. Termination

You may close your workspace at any time from Settings, or by emailing support@bilberk.com. We may suspend or terminate your access immediately if you materially breach these Terms or if required by law. On termination, your access to the Service ends and we will delete your Customer Data within 30 days as described in our Privacy Policy, except where retention is required by law.

9. Warranty disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted or error-free, to the maximum extent permitted by applicable law.

10. Limitation of liability

To the maximum extent permitted by law, Bilberk and its directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service. Bilberk's aggregate liability under these Terms for any claim will not exceed the greater of (a) the fees you paid to Bilberk in the twelve months preceding the event giving rise to the claim, or (b) USD 100.

11. Indemnity

You agree to indemnify and hold harmless Bilberk and its affiliates from any third-party claims, losses, or expenses (including reasonable legal fees) arising out of (a) your Customer Data, (b) your use of the Service in breach of these Terms or applicable law, or (c) your violation of any rights of a third party.

12. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to its conflict-of-laws principles. The courts of Lagos, Nigeria have exclusive jurisdiction over any dispute arising from these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction.

13. Changes

We may update these Terms from time to time. Material changes will be communicated to workspace owners by email at least 14 days before they take effect. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
